1. NAME

 The name of the Society shall be the “Indian Association of Medical Journal Editors” 9IAMJE) herein after referred as the “Association”.


2. REGISTERED OFFICE

The registered office of the Association in the Department of Gastroenterology, Sanjay Gandhi Postgraduate Institute of Medical Sciences, Raebareli Road, Lucknow-226014.


3. OBJECTIVES

The Association will have the following objectives.

a)         To improve overall standards of Indian Medical Journals.

b)         To provide a forum for discussion among biomedical scientist involved in   editorial activities.

c)         To improve editorial and communication skills of medical scientists.

d)         Any other objectives as decided by the General Body from time to time.


4. MEMBERSHIP:

a) Members:  Editors and members of the editorial boards of medical journals will be eligible to be ordinary members of the Association Membership will not renewed if a member has not been editor or member of the editorial board for  more than five years.

b) Honorary members:  The General Body, on recommendation of the Governing Council, can enroll any individuals as Honorary Members of the Association if it feels that such enrollment will benefit the Association.  The Honorary Members shall not be eligible to vote.

 

5. GENERAL BODY

a)  The General Body will meet at least once a year.  It will

      i)  elect the Convener, Secretary and Treasurer

     ii)  accept new members and enroll Honorary Members

    iii)  ratify the decisions of the Governing Council

b) Quorum shall be 1/3rd of the total members of the General Body.  In case the quorum for a duly convened General Body Meeting is not sufficient, the meeting can be adjourned and reconvened with the members present forming the quorum.

 

6. GOVERNING COUNCIL

a) The Council will consist of the following bearer:

i)     Convener

ii)    Secretary

iii)   Treasurer

iv)    Members (2)

Convener for the next year will be elected at the time of the Annual Meeting.  His/her tenure will be one year.  The members will be nominated by the Convener.  They will be form the same city as the Convener.  Their tenure will be one year.  Secretary and Treasurer will be from the same city.  The tenure will be 2 years.  The Secretary will present the annual Report at the General Body Meeting.  The Treasurer will present the budget and the accounts at the General Body Meeting.

b) The Governing Council will meet at least once a year.  The Governing Council will

i)   recommend to the General Body application of new members

ii)  nominate members to fill vacancies in the Governing Council

iii) propose amendments to the statutes

iv) deal with any other matter brought to it by the members.

 

7. REGISTRATION

The official representatives of the association will be the Convener or a Member nominated by the Governing Council.

 

8. FEES

The annual membership fee will be Rs.200/- per year

 

9. TERMINATION OF MEMBERSHIP

Membership may be terminated by

i)   resignation

ii)  arrears of more than two years in annual membership fee

iii) two-thirds majority of members present at a duly convened meeting of the Governing Body, provided notice of such intention had been included on its agenda.

 

10. FINANCES

The fund of the Association shall be managed by the Secretary and the Treasurer.  The financial year will be from 1st April to 31st March.

 

11.  AMENDMENTS TO THE STATUTES

a) Amendments to the statures may be proposed by the Governing Council or by at least ten members.

b) Proposals for amendments must be received at the Registered Office at least four months before the annual General Body Meeting.  The Secretary will send these proposal to members at least two months before the General Body Meeting.

c) Amendments may be achieved at a regular (not an adjourned) General Body Meeting by two-thirds majority of the members present.

 

12. INDEMNITY

Neither the office bearers nor members of the Governing Council nor the members of the association shall be answerable for any act done in good faith by them for the sake of conformity only, for any Moines of the Association other than such as shall come into their own hands or for any collections or receiver of Moines appointed by the Governing deed executed by them as an office bearer or a member of the Governing Council or member of the Association or any reason of any error in judgement or mere indiscretion on account except for willful negligence or fraud.  Every person being an office bearer or a member of the Governing Council or a member of the Association, his heirs, executors and administrators shall at all times be indemnified out of the funds of the Association from and against all costs, losses, damages and or expenses whatsoever incurred or being an office bearer or a member of the Governing Council or a member of the Association, his heirs, executors and administrators shall be indemnified and saved harmless out of the demands whatsoever brought or made against him or them either severally or jointly in respect or any engagement of the Association such as may be incurred by his own personal willful neglect or default.

 

13. DISSOLUTION

a) Not less than three fifths of the members of the Association may determine that it shall be dissolved and thereupon it shall be dissolved forthwith or at any time agreed upon, and all necessary steps shall be taken by the Governing Council for the disposal and settlement of the property of Association, the claims and liabilities, according to the Rules of the Association applicable thereto, if any and if not then as the Governing Council shall find expedient, provided that in the event of any disputes arising among the Governing Council or the members of the Association the adjustment of affairs shall be referred to the Principal Court of the original civil jurisdiction of the district in which the office of the Association situates and the Court shall make such order in thematter as it shall deem requisite.

b) If on the dissolution of the Association there remains after satisfaction of its debts and liabilities, any property whatsoever, the same shall not be paid or distributed among the members of the Association by shall be given or transferred to some other institution having the object or transferred to some other institution having the objects of the advancement of medical sciences, such institution or institutions to be determined by the three fifths of the members of the Association at or before the time of dissolution and if and so far as effect cannot be given to such provision then to some other charitable object.

c) All provisions of the Societies Registration Act (1860) as amended from time to time shall apply to the Association.
